1. Introduction and Acceptance of Terms

Welcome to ManufactureERP, a subscription-based Software-as-a-Service (SaaS) platform provided by Lehartechnologies.com Pvt Ltd. These Terms and Conditions ("Terms," "Agreement") govern your access to and use of the ManufactureERP platform, including all related services, features, content, and applications (collectively, the "Services").

By accessing, registering for, or using ManufactureERP, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Definitions

For the purposes of these Terms:

• "Account" means the unique account created for you to access the Services.
• "Administrator" or "Admin" means a user with elevated privileges to manage an organization's account, including the ability to add/remove users and delete data.
• "Company," "We," "Us," or "Our" refers to Lehartechnologies.com Pvt Ltd.
• "Content" means all data, information, text, graphics, files, and other materials uploaded, submitted, or transmitted through the Services.
• "Custom Modules" means premium, tailored solutions developed specifically for a customer's unique requirements.
• "Premium Modules" means additional features and functionality available for an additional subscription fee.
• "Services" means the ManufactureERP platform and all related services provided by the Company.
• "Subscription" means your paid access to the Services for a specified period.
• "Trial Period" means the 30-day free trial period offered to new users.
• "User," "You," or "Your" refers to the individual or entity accessing or using the Services.
• "Workspace" means a shared environment within ManufactureERP where users collaborate and share data.

4. Service Description

ManufactureERP is a cloud-based enterprise resource planning (ERP) platform designed for manufacturing and industrial businesses. The Services include:

4.1 Base Service

The base ManufactureERP service is available free of charge and includes core functionality for project management, basic production tracking, and user management.

4.2 Premium Modules

Premium modules are available for an additional subscription fee and include advanced features such as:

• Advanced analytics and reporting
• Predictive maintenance tools
• Real-time IoT device integration
• Advanced project management with Gantt charts and CPM
• Custom dashboards and visualizations
• Additional storage and user capacity

Note: Specific pricing and feature details for premium modules are subject to change and will be communicated separately. Subscription tiers are still being finalized.

4.3 Custom Modules

We offer custom module development services to create unique solutions tailored to your specific business needs. Custom modules are quoted and priced separately on a project basis.

4.4 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access to the Services. We may perform scheduled maintenance or updates that may temporarily affect service availability. We will provide advance notice of scheduled downtime when possible.

5. Account Registration and Trial Period

5.1 Account Creation

To use ManufactureERP, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use of your account
• Ensuring that your account information is accurate and up-to-date

5.2 Trial Period

New users are entitled to a 30-day free trial period to evaluate the Services. During the trial period:

• You have access to the full range of features (base service and selected premium modules)
• You may subscribe to a paid plan at any time during the trial
• Your data remains accessible and is not locked during the active trial period
• If the trial period expires without a paid subscription, your data will be locked (inaccessible but not deleted)
• Locked data is retained for 3 years and can be reactivated by subscribing to a paid plan

5.3 Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement.

5.4 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You engage in fraudulent, abusive, or illegal activities
• Your payment method fails or your account becomes delinquent
• You provide false or misleading information

6. Subscriptions and Payments

6.1 Subscription Plans

After the trial period, continued use of ManufactureERP requires a paid subscription. Subscription plans include:

• Base Service: Free tier with limited features
• Premium Modules: Paid add-ons with additional features (pricing to be determined)
• Custom Modules: Tailored solutions with custom pricing

Subscription tiers, pricing, and billing cycles have not been finalized and will be communicated separately. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.

6.2 Payment Processing

All payments are processed securely through Razorpay, our third-party payment processor. We do not collect or store your full credit card or banking information. By subscribing, you agree to:

• Provide accurate and complete payment information
• Authorize us to charge your payment method for all fees incurred
• Pay all applicable taxes and fees in addition to the subscription price
• Comply with Razorpay's terms and conditions

6.3 Billing and Renewal

Subscriptions are billed in advance on a recurring basis (monthly, annually, or as otherwise specified). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

6.4 Free Trial Conversion

If you subscribe to a paid plan during your free trial period, you will be charged immediately for the subscription, and your trial period will convert to a paid subscription.

6.5 Price Changes

We reserve the right to change subscription prices at any time. Price changes will apply to new subscribers immediately and to existing subscribers upon their next renewal, provided we give you at least 30 days' advance notice of the price change.

6.6 Taxes

You are responsible for all applicable taxes, duties, and government charges (including GST, if applicable) in addition to the subscription fees. If we are required to collect or pay taxes on your behalf, such taxes will be charged to you.

7. Cancellation, Refunds, and Data Retention

For detailed information on cancellation and refunds, please refer to our Cancellation & Refunds Policy. Key points:

• All services are non-refundable once the trial period has ended
• Payments made during the trial period are eligible for a full refund if cancellation occurs before the trial ends
• You may cancel your subscription at any time, but no refunds will be provided for the remaining subscription period
• Upon cancellation, your data will be locked (inaccessible) but retained for 3 years
• Only account administrators can delete account data

8. User Responsibilities and Acceptable Use

8.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Upload, transmit, or distribute any malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to the Services, other users' accounts, or our systems
• Interfere with or disrupt the Services or servers connected to the Services
• Use the Services to transmit spam, unsolicited communications, or phishing attempts
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated systems (bots, scrapers) to access the Services without our permission
• Resell, sublicense, or redistribute the Services without our written consent
• Remove or modify any proprietary notices or labels from the Services

8.2 Data Accuracy

You are solely responsible for the accuracy, quality, and legality of the data you upload to the Services. You represent and warrant that you have all necessary rights and permissions to upload and use such data.

8.3 Workspace Collaboration

If you are part of a shared workspace:

• You are responsible for your own actions and content within the workspace
• You may not delete workspace data unless you are an administrator
• You may delete your personal data at any time
• Workspace administrators have the authority to remove users and manage workspace settings

8.4 Security

You are responsible for implementing appropriate security measures for your account, including:

• Using strong, unique passwords
• Enabling two-factor authentication if available
• Restricting access to authorized personnel only
• Monitoring your account for suspicious activity

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Services, including all software, text, graphics, logos, interfaces, and underlying technology, are owned by Lehartechnologies.com Pvt Ltd and are protected by Indian and international copyright, trademark, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms. All rights not expressly granted are reserved.

9.2 Your Content and Data

You retain all ownership rights to your data and content. By uploading content to the Services, you grant us a limited, worldwide, non-exclusive license to:

• Store, process, and transmit your content as necessary to provide the Services
• Create backups and ensure data redundancy
• Perform technical operations necessary for service delivery

We will not use your content for any other purpose without your explicit consent. This license terminates when you delete your content or close your account, except for content that has been shared with other users or is required for legal compliance.

9.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without any obligation or compensation to you. We may use feedback to improve the Services or develop new features.

10. Data Privacy and Security

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10.1 Data Storage

All data is stored on secure servers located in India, hosted on Google Cloud Platform. We implement industry-standard security measures to protect your data.

10.2 Data Ownership

You own all manufacturing data and content you upload to ManufactureERP. We do not claim ownership of your data and will not access it except as necessary to provide the Services or as required by law.

10.3 Data Retention

• Active subscriptions: Data is accessible and retained for the duration of your subscription
• Cancelled subscriptions: Data is locked but retained for 3 years
• Deleted accounts: Data is permanently deleted within 30 days
• Trial accounts: Data is locked if trial expires without subscription, retained for 3 years

11. Service Modifications and Availability

11.1 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We may add new features, remove existing features, or change how features work. We will make reasonable efforts to notify you of material changes that negatively impact your use of the Services.

11.2 Downtime and Maintenance

We may perform scheduled maintenance or emergency updates that temporarily make the Services unavailable. We will provide advance notice of scheduled maintenance when possible.

11.3 No Warranty

While we strive to provide reliable services, we do not guarantee that the Services will be error-free, uninterrupted, or meet your specific requirements. The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

12.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.

12.2 Limitation of Damages

IN NO EVENT SHALL LEHARTECHNOLOGIES.COM PVT LTD, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR INR 10,000, WHICHEVER IS GREATER.

12.4 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Lehartechnologies.com Pvt Ltd, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights, including intellectual property rights
• Any content or data you upload to the Services
• Any negligent or wrongful conduct by you or anyone using your account

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

14.2 Jurisdiction

Any disputes arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Delhi, India. You irrevocably consent to the jurisdiction and venue of such courts.

14.3 Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us at yash@khandelwalbusar.com to attempt to resolve the dispute informally. We commit to working with you in good faith to resolve any disputes.

14.4 Arbitration

If informal resolution is unsuccessful, disputes may be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, with arbitration proceedings conducted in New Delhi, India, in the English language.

15. Miscellaneous Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Lehartechnologies.com Pvt Ltd regarding the Services and supersede all prior agreements and understandings.

15.2 Amendments

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

15.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.

15.5 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms or our rights and obligations without restriction.

15.6 Third-Party Services

The Services may integrate with or link to third-party services (such as Razorpay for payment processing). Your use of third-party services is governed by their respective terms and policies. We are not responsible for third-party services.

15.7 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service failures.

15.8 Survival

Provisions that by their nature should survive termination of these Terms shall survive, including but not limited to intellectual property rights, limitation of liability, indemnification, and dispute resolution provisions.
